Terms of Service

1. Agreement to Terms

By accessing or using Framework ("Service"), an invoicing and project management platform operated by Konrath LLC dba Framework Software ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Framework is a business management platform for contractors, construction companies, subcontractors, and service professionals. The Service includes, without limitation: creation and management of estimates, projects, invoices, and clients; time and material tracking; daily operations and task management; subcontractor management; integration with third-party payment processing (e.g., Stripe) and email delivery (e.g., Resend); and related features as described on our website and within the product. We may add, change, or discontinue features with reasonable notice where practicable.

3. Account Registration and Security

You must provide accurate, current, and complete information when registering and must keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us promptly of any unauthorized use. We are not liable for any loss or damage arising from your failure to protect your credentials.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not: (a) use the Service in any way that violates applicable law or regulations; (b) transmit any harmful, offensive, or illegal content; (c) attempt to gain unauthorized access to the Service, other accounts, or our or any third party's systems or networks; (d) interfere with or disrupt the integrity or performance of the Service; (e) use the Service to send spam or unsolicited communications; (f) resell or sublicense the Service without our prior written consent; or (g) use automated means to access the Service except as we expressly permit (e.g., documented APIs). You are responsible for the content and data you submit and for ensuring that your use of the Service (including sending invoices, contracts, and communications to clients and subcontractors) complies with applicable law.

5. Your Data and Content

You retain ownership of data and content you submit to the Service ("Your Data"). You grant us a limited license to use, store, process, and transmit Your Data solely to provide, operate, and improve the Service and as described in our Privacy Policy. We do not use Your Data for advertising or to train AI models on your business content. Our handling of personal data is described in our Privacy Policy.

6. Payment Terms

If you subscribe to a paid plan or use paid features, you agree to pay all fees in accordance with the pricing and billing terms presented at signup or in the application. Fees may be billed in advance (e.g., monthly or annually). You must provide a valid payment method. Failure to pay may result in suspension or termination of access. All fees are non-refundable except as required by law or as we expressly state. Taxes are your responsibility unless we are required to collect them. If you use Stripe or other payment integrations to collect payments from your clients, your use of those services is also subject to the applicable third-party terms (e.g., Stripe's terms).

7. Intellectual Property

The Service, including its software, design, text, graphics, and other materials (excluding Your Data), is owned by Konrath LLC dba Framework Software or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service or our intellectual property without our prior written consent. We may use feedback you provide without obligation to you.

8. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other that is designated confidential or that reasonably should be understood to be confidential. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction. We will protect Your Data in accordance with our Privacy Policy and applicable data processing agreements.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE ARE NOT RESPONSIBLE FOR THE CONDUCT OF USERS, CLIENTS, OR THIRD-PARTY SERVICES (SUCH AS STRIPE, SUPABASE, OR RESEND). YOU USE THE SERVICE AT YOUR OWN RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KONRATH LLC DBA FRAMEWORK SOFTWARE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless Konrath LLC dba Framework Software and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) Your Data or your violation of any third party's rights; (c) your violation of these Terms or applicable law; or (d) any dispute between you and your clients, subcontractors, or other third parties in connection with your use of the Service.

12. Termination

We may suspend or terminate your access to the Service at any time for cause, including breach of these Terms, non-payment, or if we discontinue the Service. You may terminate your account at any time through the Service or by contacting us. Upon termination, your right to use the Service ceases. We may retain Your Data for a reasonable period after termination as described in our Privacy Policy, after which we may delete it. Sections that by their nature should survive (including 5–12) will survive termination.

13. Changes to Terms

We may modify these Terms from time to time. We will provide notice of material changes by posting the updated Terms on our website or within the Service and updating the "Last updated" date. Your continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.

14. General

These Terms constitute the entire agreement between you and Konrath LLC dba Framework Software regarding the Service and supersede any prior agreements. Our failure to enforce any right or provision shall not constitute a waiver. If any provision is held invalid, the remaining provisions remain in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any dispute shall be resolved in the state or federal courts located in Wyoming, and you consent to personal jurisdiction there.
